Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by Atlantic Trading Systems, Inc., doing business as Spot Origin ("Spot Origin," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services Overview

Spot Origin provides property management software ("Stack"), capital markets advisory services, and related tools for multifamily housing operators, developers, tenants, and partners. Our Services include the Stack tenant application, operator dashboards, the spotorigin.com website, and any associated APIs or integrations.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts and Authentication

Certain features of the Services require account creation or phone-based authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at [email protected].

We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse-engineer, decompile, or disassemble any portion of the Services
• Use the Services to transmit malware, spam, or other harmful content
• Scrape, crawl, or otherwise extract data from the Services by automated means without our prior written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Services in a manner that could damage, disable, overburden, or impair them

5. Stack Tenant Application

If you are a tenant using the Stack application, the following additional terms apply:

• Accrual balances. Any "Stay Value" or accrual balance displayed in the Stack application represents an amount governed by the terms of your lease agreement with your property operator. Spot Origin facilitates the display and processing of these balances but is not a party to your lease.
• Lease terms. Any lease extension, rent escalation, or payout initiated through the Stack application is governed by your lease agreement. Spot Origin does not set rent amounts, escalation rates, or payout terms — these are determined by your property operator.
• Payouts. Payout timing and method are determined by your property operator. Spot Origin processes payouts as directed but does not guarantee timing or availability of funds.

6. Operator and Developer Terms

If you are a property operator, developer, or capital partner using the Services, your use is additionally governed by any separate agreement or subscription terms entered into with Spot Origin. In the event of a conflict between these Terms and a separate written agreement, the separate agreement controls.

7. Independent Contractor Terms

If you participate in Spot Origin's sales or deal origination programs as an independent contractor, your engagement is governed by your 1099 Independent Contractor Agreement. Nothing in these Terms creates an employment, partnership, or agency relationship between you and Spot Origin.

8. Intellectual Property

The Services and all content, features, and functionality — including but not limited to text, graphics, logos, software, and design — are owned by Atlantic Trading Systems, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services or included content without our prior written consent. You may not use the Spot Origin or Stack name, logos, or trademarks without our prior written permission.

9. User Content

You may submit information, data, or other content through the Services ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Spot Origin a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely as necessary to provide and improve the Services.

You represent that you have all rights necessary to submit your User Content and that it does not violate any law or infringe any third-party rights.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

The Services may integrate with or contain links to third-party services, including but not limited to payment processors, scheduling tools, and analytics providers. We are not responsible for the content, terms, or practices of any third-party service. Your use of third-party services is at your own risk and subject to those services' own terms and policies.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SPOT ORIGIN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT MAKE ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.

SPOT ORIGIN IS NOT A BANK, LENDER, BROKER-DEALER, INVESTMENT ADVISOR, OR REGISTERED SECURITIES ENTITY. NOTHING IN THE SERVICES CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. ANY FINANCIAL PROJECTIONS, CALCULATIONS, OR ESTIMATES PROVIDED THROUGH THE SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ATLANTIC TRADING SYSTEMS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Atlantic Trading Systems, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 8, 12, 13, 14, and 17.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-law principles. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Hamilton County, Ohio, and you consent to the personal jurisdiction of such courts.

18. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any separate agreements, constitute the entire agreement between you and Spot Origin regarding the Services.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
